1. Acceptance of these terms
By accessing or using Socioclip, you agree to these Terms of Service and any additional guidelines, policies, or notices that apply to specific features. If you do not agree, do not use the service.
2. Eligibility and authority
You represent that you are legally able to enter into these terms and, if acting for a business, brand, or client, that you have authority to bind that party.
3. Description of the service
Socioclip currently supports workflows that may include:
- uploading source video files or providing supported YouTube URLs;
- preparing source media for analysis and short-form clip generation;
- reviewing and editing candidate clips, including title, timing, captions, subtitle style, and transitions;
- rendering short-form video outputs; and
- optionally preparing or submitting TikTok publishing packages.
SocioDigitals may add, remove, suspend, or modify features at any time.
4. Your content and rights
You retain ownership of the source content and materials you provide, subject to any third-party rights that may apply. By using Socioclip, you grant SocioDigitals a limited, non-exclusive license to host, process, copy, transform, render, and transmit that content solely as needed to operate, secure, maintain, and improve the service.
You are solely responsible for ensuring that:
- you own or have all necessary rights, permissions, licenses, and consents to use the source content;
- your use of the service does not infringe copyright, trademark, privacy, publicity, or other rights;
- you have permission from any person whose likeness, voice, or personal data appears in uploaded or linked content; and
- your use complies with applicable law, client commitments, and platform rules.
5. Acceptable use
You agree not to use Socioclip to:
- process unlawful, infringing, deceptive, defamatory, or abusive content;
- impersonate any person or misrepresent ownership, authority, or origin of content;
- interfere with or disrupt the service, security features, or related infrastructure;
- attempt to gain unauthorized access to systems, accounts, or data;
- use the service to distribute malware, spam, or harmful automated traffic; or
- circumvent the terms, restrictions, or technical limits of connected third-party platforms.
6. Generated outputs and publishing decisions
Clip suggestions, captions, tags, scoring, and related outputs may be automated or assisted by system logic. They are provided for workflow convenience, not as legal, editorial, or compliance advice. You are responsible for reviewing outputs before using, distributing, or publishing them.
If you choose to publish to TikTok or another connected platform, you are responsible for the final post, including captions, hashtags, rights clearance, privacy settings, interaction settings, and compliance with that platform’s rules.
7. Third-party platforms and services
Socioclip may rely on or integrate with third-party services such as YouTube and TikTok. Those services are operated independently from SocioDigitals. We do not control and are not responsible for third-party availability, API changes, moderation outcomes, account actions, or platform enforcement decisions.
8. Intellectual property in the service
Socioclip, including its software, workflows, design, branding, and related materials, is owned by SocioDigitals or its licensors and is protected by applicable intellectual property laws. Except for the limited rights expressly granted in these terms, no rights are transferred to you.
9. Fees, pilots, and commercial terms
If Socioclip is offered under a proposal, subscription, pilot, or other commercial arrangement, the pricing and commercial details in that separate agreement will also apply. If there is a conflict, the specific written commercial agreement controls for pricing and service scope.
10. Availability and changes
Socioclip may be updated, limited, paused, or discontinued at any time. We do not guarantee that the service will always be available, uninterrupted, error-free, or compatible with every workflow, platform, or device.
11. Disclaimer of warranties
To the fullest extent permitted by law, Socioclip is provided on an “as is” and “as available” basis. SocioDigitals disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.
12. Limitation of liability
To the fullest extent permitted by law, SocioDigitals will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity arising from or related to Socioclip.
To the fullest extent permitted by law, the total liability of SocioDigitals for claims relating to the service will not exceed the amount you paid specifically for Socioclip in the twelve months before the event giving rise to the claim, or, if no amount was paid, a nominal cap of USD 100.
13. Indemnity
You agree to defend, indemnify, and hold harmless SocioDigitals and its personnel from claims, losses, liabilities, damages, and expenses arising out of or related to your content, your use of Socioclip, your violation of these terms, or your violation of applicable law or third-party rights.
14. Suspension and termination
We may suspend or terminate access to Socioclip at any time if we believe your use creates legal, security, operational, or reputational risk, violates these terms, or harms the service or others.
15. Governing law
These terms are governed by the laws of the Republic of Indonesia, without regard to conflict of law principles, unless mandatory law in your jurisdiction requires otherwise.
16. Updates to these terms
We may update these Terms of Service from time to time. Continued use of Socioclip after an updated version becomes effective means you accept the revised terms.
